HELMERYS terms for business clients

These terms apply to businesses and other professional users who submit a specialist request through HELMERYS, select a proposal and confirm an engagement.

1. Business use and operator

HELMERYS is operated by schipperhuren.nl, Dutch Chamber of Commerce number 75954109. These terms are intended for use in the course of a trade or profession. If you act for an organisation, you confirm that you are authorised to represent it.

2. Role of HELMERYS

HELMERYS facilitates intake, routing, specialist selection, proposals, engagement confirmation, payment flow, case workspace and platform administration. The executing specialist is an independent business and remains the supplier of the substantive specialist service.

HELMERYS is not automatically the formally appointed statutory safety adviser. A formal appointment must be agreed separately with an appropriately qualified specialist where required by law.

3. Client information duties

Provide accurate, complete and relevant information and documents in time.

Ensure that documents and personal data may lawfully be shared through the platform.

Report relevant changes, incidents, deadlines or safety-critical facts without undue delay.

Remain responsible for operational decisions within your organisation and for compliance with applicable law unless a specific responsibility has been expressly and lawfully assigned to the specialist.

4. Fixed service or custom work

A tightly defined request may fit a fixed standard service. For custom work one or more matching specialists may submit independent proposals. HELMERYS does not automatically recommend the lowest price and does not show competing proposals to other specialists.

5. Formation of the engagement

For custom work you select a proposal yourself. The engagement becomes executable only after you confirm the displayed scope, price and payment method within the stated deadline. For a fixed service, the displayed service description, price and confirmation apply.

The specialist service agreement is between your business and the selected specialist. HELMERYS remains responsible for the separate platform service required to facilitate that engagement technically and administratively.

6. Price, VAT and invoice

Price and VAT treatment are shown before confirmation to the extent they can then be determined. The specialist invoices the service under its own business identity. HELMERYS may maintain separate platform administration for the fee payable by the specialist to HELMERYS.

Errors in business or billing data should be reported promptly. Final invoice data may become restricted or immutable after release where an auditable record has been fixed.

7. Card and SEPA

For card payment, the full agreed amount including VAT may be authorised or reserved in advance. Collection occurs only after final release under the platform flow.

For SEPA you grant a one-off debit mandate for the agreed amount. Collection starts only after final release under the platform flow.

An expired authorisation, withdrawn mandate, failed payment or technical block may suspend performance or release until payment state is safely restored.

Stripe processes payment details. HELMERYS does not store full card details.

8. Performance, scope and release

The specialist performs only the agreed scope. Additional work, further documents, a site visit or changed circumstances may require a new or supplementary agreement.

Final release means the specialist releases the agreed result as complete through the platform flow. Collection may then occur under the selected payment method. Release does not make advice universally applicable outside the agreed facts, date, jurisdiction or scope.

9. Cancellation, expired deadlines and refunds

Before confirmation, a proposal may expire without an engagement. After confirmation, cancellation, compensation for work already performed and any refund depend on the agreed scope, stage of work, payment status and applicable law.

HELMERYS may end a hold or flow if a specialist is no longer available or qualified, a safety or integrity risk arises, or payment confirmation cannot be completed safely in time. Amounts already collected are refunded only where the circumstances and applicable law require it.

10. Qualification and verification

HELMERYS checks relevant profile information, qualifications and insurance status before a specialist can accept work through the platform. This is a platform verification and not a guarantee that every qualification is sufficient for every conceivable issue. The specialist must stay within their own professional competence.

11. Confidentiality and documents

HELMERYS and the specialist treat case information as business-confidential where the nature of the information and engagement requires it. You grant HELMERYS and the specialist a limited right to process submitted information for delivery, verification, security, administration and dispute handling.

Rights in client-provided materials remain with the rights holder. Use rights in the final advice or report follow from the engagement and applicable law; the specialist's underlying methods, general know-how and pre-existing materials remain with the relevant rights holder.

12. Liability and complaints

The specialist is responsible for the substantive specialist service within the agreed scope. HELMERYS is responsible for its own platform actions. Each party remains responsible for its own conduct to the extent determined by law and the specific agreement.

A substantive complaint about advice or performance should first be raised with the specialist. A complaint about platform operation, matching, payment or administration may be sent to HELMERYS at advies@adnveiligheidsadviseur.nl. HELMERYS may facilitate communication without assuming the specialist's substantive responsibility.

13. Availability, misuse and suspension

HELMERYS aims for reliable availability but does not guarantee uninterrupted service. Access may be limited for maintenance, security, abuse prevention, legal obligations or incident response. Abuse, fraudulent information, unauthorised access or unlawful material may lead to suspension of an account or request.

14. Governing law and changes

Dutch law applies to the HELMERYS platform service to the extent mandatory law does not provide otherwise. Disputes are submitted to the court having jurisdiction under applicable law.

New terms apply to new confirmations from the published version date. The version accepted at engagement confirmation is recorded where possible. If translations differ, the Dutch text prevails to the extent permitted by law.
