HELMERYS Founding Specialist terms

These terms apply to the first selected independent specialists participating in HELMERYS as Founding Specialists.

1. Independent business

The specialist participates as an independent business, not as an employee, representative or agent of HELMERYS. The specialist independently decides whether a request fits their expertise and capacity and remains responsible for the substantive service, professional judgement, working methods, legal duties, taxes and administration.

2. Admission and Founding status

An application does not create an automatic right to admission. HELMERYS selects for relevant coverage, experience, professional identity, qualifications, insurance status and practical availability.

For the first five specialists selected by HELMERYS as Founding Specialists, the annual platform contribution is €0 while the Founding arrangement applies to their profile. The status is personal to that profile and cannot be transferred without approval.

3. Qualifications and competence

Provide accurate and current information about disciplines, experience and qualifications.

Provide and renew valid evidence for regulated or certified work.

Accept only work that falls within your demonstrable competence, legal authority and insurance cover.

Immediately report expired, withdrawn or materially changed qualifications to HELMERYS.

4. Professional liability insurance

Appropriate and valid professional liability insurance is required to accept assignments through HELMERYS. The specialist provides correct policy and validity data and verifiable evidence. HELMERYS may pause the profile or access to new work if cover expires or becomes insufficient.

5. Matching and proposals

Matching requests may be shown to multiple verified specialists. Each specialist prepares an independent proposal without seeing competing proposals. For custom work the specialist independently sets price, scope, deliverables, assumptions and lead time.

Price coordination, improper collusion or manipulation of the proposal process is prohibited.

6. No guarantee of work

HELMERYS does not guarantee any minimum request volume, assignments, revenue or geographical coverage. The platform may manage capacity, disciplines and the number of active specialists to protect network quality and usefulness.

7. Platform fee and own clients

For an assignment obtained through HELMERYS, the specialist owes a 10% platform fee on the specialist fee excluding VAT, plus any applicable VAT on the platform fee. The concrete financial processing is recorded in the platform flow and administration.

Work independently obtained outside HELMERYS is not subject to the HELMERYS platform fee. Future work with the same client is fee-bearing only when that assignment is again obtained through HELMERYS or is expressly recorded as a HELMERYS assignment.

8. Invoicing and professional identity

The specialist invoices the substantive service directly to the client under the specialist's own legal business name, VAT and registration details and invoice numbering. The specialist may use their own business logo.

The specialist remains responsible for correct billing details, VAT treatment, accounting and tax duties. HELMERYS invoices the platform fee separately or settles it through the agreed Stripe Connect flow.

9. Stripe Connect and payment

Complete Stripe Connect onboarding before accepting paid assignments.

For card payments the client amount is reserved or authorised under the platform flow and collected only after final release.

For SEPA the client debit is initiated only after final release.

Release a case only after the agreed work is genuinely complete and invoice data has been checked.

Cooperate with reasonable reconciliation of failed, disputed, reversed or refunded payments.

10. Performance and professional conduct

Work carefully, independently and within the agreed scope.

State relevant assumptions, limitations and required follow-up clearly.

Request further information where responsible advice is impossible on the available facts.

Disclose conflicts of interest, safety risks or circumstances preventing independent performance.

Do not make misleading claims about HELMERYS, certification, authority or guarantees.

11. Confidentiality and personal data

Use client and case data only for the relevant engagement, legal duties and necessary professional administration. Confidential information must not be used for other clients, marketing or unauthorised purposes.

Apply appropriate security measures to data processed outside HELMERYS and report relevant data breaches or security incidents without undue delay where they affect the platform or a HELMERYS client.

12. Documents, intellectual property and case record

Rights in pre-existing methods, templates and general know-how remain with the specialist or other rights holder. The client receives the use rights in the agreed final result needed for the assignment unless otherwise agreed in writing.

Finally released platform documents, payment data and audit records may be retained as immutable evidence of the completed platform flow.

13. Complaints, remediation and liability

The specialist handles substantive complaints about their own advice or performance professionally and promptly and cooperates with reasonable correction where an error within scope is established.

The specialist remains responsible for their substantive service. HELMERYS remains responsible for its own platform actions. Professional liability insurance does not replace this responsibility, but provides required risk cover.

14. Suspension or termination

HELMERYS may pause access to new assignments for expired certificates or insurance, incomplete verification, serious complaints, security risks, fraud, breach of these terms or other material integrity or quality concerns.

The specialist may end participation, but accepted ongoing assignments and accrued payment, invoicing, retention or dispute obligations remain in force where necessary.

15. Changes and governing law

Material changes to participation terms are published as a new version and do not silently create new obligations without appropriate notice or renewed acceptance where required.

Dutch law applies to these HELMERYS participation terms to the extent mandatory law does not provide otherwise. Disputes are submitted to the court having jurisdiction under applicable law. If translations differ, the Dutch text prevails to the extent permitted by law.
